1. Acceptance of Terms

By accessing or using www.furie.ai, any associated subdomains, or Furie’s chat and automation services (collectively, the “Services”), you agree to be bound by these Terms and Conditions (“Terms”).

If you do not agree, you must immediately discontinue use.

Furie.ai reserves the right to modify or update these Terms at any time. Changes become effective upon posting to this page, and your continued use of the Services constitutes acceptance of the updated Terms.

2. Description of Services

Furie.ai provides a software platform for AI-driven chat, live-agent messaging, customer engagement, and workflow automation. Services may include:

• AI chatbot interfaces (Furie™)
• Live agent portals and integrations
• API access and developer tools
• Property and business analytics dashboards
• CRM or third-party app integrations (Zapier, n8n, etc.)

We may update or enhance the Services at our discretion without notice.

3. Eligibility

You must be at least 18 years old to use Furie.ai. By registering, you represent that:

• You have the legal capacity to enter into these Terms;
• You provide accurate and complete information during registration;
• You will comply with all applicable laws and regulations.

4. Account Registration and Security

You are responsible for maintaining the confidentiality of your login credentials and all activities under your account. You agree to:

• Notify us immediately of any unauthorized access or breach;
• Not share login credentials with others;
• Use your account only for lawful business or personal purposes.

Furie.ai is not liable for any loss or damage resulting from unauthorized account use.

5. Acceptable Use

You agree not to:

• Use the Services for unlawful, harmful, or fraudulent activity;
• Transmit spam, malware, or malicious code;
• Impersonate another person or misrepresent your affiliation;
• Scrape, copy, or reverse-engineer the Furie.ai platform;
• Interfere with system performance, security, or accessibility;
• Use the Services in violation of privacy, consumer protection, or intellectual property laws.

We reserve the right to suspend or terminate any account violating these Terms.

6. Subscription, Payment, and Cancellation Terms

Some Furie.ai Services (such as "Promo Pops", "Advanced AI", and the "Furie Fly" bundle) require payment or a subscription plan. By purchasing, you agree that:

• Payment Authorization: All fees are due in U.S. dollars. You authorize Furie.ai and its payment processor (Stripe) to charge your payment method for the initial subscription period and any renewals.
• Automatic Renewal: Subscriptions renew automatically at the end of each billing cycle (monthly or annually) unless canceled before the renewal date.
• Cancellation Policy: You may cancel your subscription at any time through your dashboard. Cancellation takes effect at the end of the current paid term. We do not provide prorated refunds for partial months or unused annual terms.
• Upgrades and Downgrades: Plan changes take effect immediately. Prorated charges or credits may apply based on the remaining time in your billing cycle.
• Price Changes: Furie.ai reserves the right to modify pricing with at least 30 days' notice prior to your next renewal.

7. Intellectual Property

All materials on Furie.ai—including software, logos, text, graphics, and trademarks—are owned or licensed by Furie.ai and protected by intellectual property laws.

You may not copy, modify, distribute, sell, or lease any part of the Services or included software without written permission.

You retain ownership of your data and content transmitted through the platform, but you grant Furie.ai a worldwide, non-exclusive, royalty-free license to use, reproduce, and display such content solely for the purpose of providing and improving the Services.

8. AI Content, Accuracy, and Liability Disclaimer

The Furie.ai platform utilizes advanced artificial intelligence (LLMs) to generate responses and analyze data. By using these features, you acknowledge and agree that:

• "Hallucinations" and Inaccuracies: AI models are probabilistic and may generate incorrect, misleading, or fabricated information ("hallucinations"). Furie.ai does not guarantee the accuracy of AI-generated responses.
• No Professional Advice: AI-generated outputs do not constitute legal, medical, financial, or professional advice. You should verify all critical information independently.
• Human Oversight Required: You are solely responsible for reviewing AI-generated content (including "Promo Pops" and chat replies) before it is sent to your customers. Furie.ai disclaims liability for any business loss, reputational damage, or legal issues resulting from reliance on AI outputs.
• Third-Party Processing: Data sent to our AI features is processed by third-party providers (e.g., OpenAI, Perplexity). Your use of these features constitutes consent to this processing.

9. Fair Use Policy (API and Resource Usage)

To ensure the stability and affordability of our platform for all users, Furie.ai enforces a Fair Use Policy regarding API usage, particularly for features leveraging third-party LLMs (e.g., Advanced AI, Promo Pops).

• Normal Business Use: Subscription plans are designed for typical human-to-bot interaction volumes. "Unlimited" refers to normal business operations, not automated/programmatic access.
• Excessive Usage: We reserve the right to throttle, suspend, or terminate accounts that exhibit abnormal usage patterns, such as automated scraping, bot-driven traffic, or volume that exceeds the 80th percentile of our user base (e.g., exceeding 500 AI triggers/month on a standard plan).
• Enterprise Needs: If your volume requirements exceed standard limits, we may require you to upgrade to a custom Enterprise plan to cover the additional API costs.

10. Third-Party Integrations

Furie.ai integrates with third-party platforms (e.g., Pusher, OpenAI, Zapier, Twilio, Stripe). Your use of those integrations is subject to their respective terms and privacy policies.

Furie.ai is not responsible for the availability, accuracy, or data handling practices of these third-party services.

11. Data and Privacy

Our Privacy Policy explains how we collect and use your personal information. By using our Services, you consent to our data practices as described in the Privacy Policy.

12. Termination

We may suspend or terminate your account or access to Services at any time, without notice, if we believe you have violated these Terms, engaged in fraudulent behavior, or pose a security risk to the platform.

Upon termination:

• Your right to access the Services immediately ceases;
• Data associated with your account may be deleted per our retention policies;
• Any outstanding fees remain due and payable.

13. Warranties and Disclaimers

The Services are provided “as is” and “as available” without warranties of any kind.

Furie.ai makes no representations or guarantees that:

• The Services will be uninterrupted, secure, or error-free;
• Any defects will be corrected;
• The Services will meet your specific requirements or achieve expected results.

To the fullest extent permitted by law, Furie.ai disclaims all warranties—express, implied, or statutory—including merchantability, fitness for a particular purpose, and non-infringement.

14. Limitation of Liability

To the maximum extent permitted by law:

• Furie.ai shall not be liable for indirect, incidental, consequential, special, or punitive damages, including loss of profits, data, or goodwill, arising from the use of the Services.
• In no event shall our total aggregate liability exceed the amount you paid for the Services in the twelve (12) months preceding the claim.

Some jurisdictions do not allow certain limitations, so these exclusions may not apply to you.

15. Indemnification

You agree to defend, indemnify, and hold harmless Furie.ai, its affiliates, officers, and employees from any claims, damages, liabilities, or expenses (including legal fees) arising from:

• Your use of the Services;
• Your breach of these Terms;
• Any violation of third-party rights or applicable laws by you or your users.

16. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Florida, United States, without regard to conflict of law principles.

Any disputes shall be resolved exclusively in the state or federal courts located in Hillsborough County, Florida, unless otherwise required by applicable law.

17. Export Compliance

You agree to comply with all applicable export and re-export restrictions and regulations administered by the U.S. Department of Commerce and other authorities related to your use of Furie.ai.

18. Entire Agreement

These Terms, along with the Privacy Policy and any supplemental agreements, constitute the entire agreement between you and Furie.ai regarding the Services and supersede all prior communications or understandings.
